Terms of Service

JamzPro™ is a marketplace technology platform — not an employer or management company. These Terms govern your use of the platform.

Platform Description

JamzPro™ is a marketplace technology platform that connects independent performers, venues, agencies, and event buyers. JamzPro™ does not employ, manage, represent, or supervise any performer or agency listed on the platform.

JamzPro™ provides technology tools that enable independent businesses to list their services, receive booking inquiries, manage contracts, and communicate with event buyers. All activity on the platform is between independent parties — JamzPro™ facilitates these connections but is not a party to any transaction or agreement between performers and event buyers. Clients pay performers directly; JamzPro™ does not process payments.

Performer Independent Contractor Status

All performers and agencies using JamzPro™ are independent contractors operating their own businesses. JamzPro™ is not your employer, does not direct your work, does not set your rates, and does not negotiate exclusive agreements on your behalf. You are solely responsible for your tax obligations, insurance, and compliance with applicable laws.

By listing your services on JamzPro™, you confirm that you are operating as an independent business and that no employer-employee relationship exists between you and JamzPro™. JamzPro™ does not provide workers' compensation, unemployment insurance, health benefits, or any other employment benefits to performers or agencies.

Payment Model

JamzPro™ is a discovery and booking marketplace. Clients and performers negotiate their own terms and handle payment directly with each other. JamzPro™ does not process, hold, escrow, split, or distribute payments on behalf of any party.

Performers set their own rates. Payment method, timing, and terms are agreed upon between the client and the performer. JamzPro™ is not responsible for any payment disputes, non-payment, or other financial matters between clients and performers.

JamzPro™ earns revenue through optional Pro and Elite subscription plans available to performers. There are no per-booking commissions or fees deducted from performer earnings.

Platform Facilitation Only

JamzPro™ facilitates discovery, bookings, contracts, and logistics between independent parties. JamzPro™ is not a party to contracts between performers and event buyers. JamzPro™ is not responsible for the quality, delivery, or outcome of any performance.

All agreements, obligations, and liabilities arising from a booking are solely between the event buyer and the independent performer. JamzPro™ provides contract templates and digital signing tools as a convenience to the parties — these tools do not create any obligation, liability, or representation by JamzPro™.

Prohibited Conduct

The following activities are strictly prohibited on JamzPro™:

Off-platform bookings: you may not solicit or accept bookings from parties you met through JamzPro™ outside of the platform. All transactions initiated through JamzPro™ must be completed through the platform to protect both parties and maintain marketplace integrity.

Misrepresentation: you may not create a false profile, misrepresent your identity, credentials, experience, or availability, or post inaccurate reviews or endorsements.

Spam and unsolicited contact: you may not send bulk unsolicited messages to other users, use automated tools to contact users, or use the platform for marketing purposes unrelated to a legitimate booking.

Fee avoidance: you may not take steps to circumvent or avoid JamzPro™'s platform fees.

Illegal activity: you may not use the platform to facilitate any illegal activity, including but not limited to fraud, money laundering, copyright infringement, or harassment.

Violations may result in immediate account suspension or permanent removal from the platform.

Dispute Resolution

In the event of a dispute between a performer and an event buyer, JamzPro™ may provide a facilitation and review process through the platform's dispute system. JamzPro™ reserves the right to mediate but is not obligated to do so and is not liable for outcomes.

JamzPro™ may, at its sole discretion, review disputes, request documentation from both parties, and make recommendations for resolution. Any mediation facilitated by JamzPro™ is non-binding. Final resolution of disputes is the responsibility of the parties involved.

Taxes

Performers are solely responsible for all taxes on earnings, including federal income tax, state income tax, and self-employment tax.

As an independent contractor, you are responsible for tracking your income, making estimated tax payments, and filing all required federal and state tax returns. JamzPro™ does not withhold taxes on your behalf. We strongly recommend consulting a qualified tax professional for guidance specific to your situation.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JAMZPRO™, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOST REVENUE, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM.

JAMZPRO™'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE TOTAL PLATFORM FEES PAID BY YOU TO JAMZPRO™ IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

JAMZPRO™ IS NOT RESPONSIBLE FOR THE CONDUCT, ONLINE OR OFFLINE, OF ANY USER OF THE PLATFORM. THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND.

Content Ownership & License

You retain ownership of all content you submit to JamzPro™, including profile text, photos, audio samples, video content, and performance descriptions. By submitting content to JamzPro™, you grant JamzPro™ a non-exclusive, royalty-free, worldwide license to use, display, reproduce, and distribute that content solely for the purpose of operating and promoting the JamzPro™ marketplace.

This license does not transfer ownership of your content to JamzPro™ and does not permit JamzPro™ to sell or license your content to third parties outside of normal marketplace operations. You may withdraw this license by removing your content or deactivating your account.

You represent and warrant that you own all rights to any content you submit, or that you have obtained all necessary permissions to submit it, and that your content does not infringe on the rights of any third party.

Account Suspension & Termination

JamzPro™ reserves the right to suspend or permanently terminate any account, at our sole discretion, for violation of these Terms, the Performer Agreement, the Marketplace Rules, the Community Guidelines, or any other JamzPro™ policy. Grounds for termination include, but are not limited to:

• Off-platform fee circumvention • Fraud or misrepresentation • Repeated cancellations or no-shows (performers) • Harassment of other users • Initiating chargebacks without completing the dispute process • Any illegal activity facilitated through the platform

In non-emergency cases, JamzPro™ will attempt to notify you and provide an opportunity to correct the violation before taking action. For serious or urgent violations, JamzPro™ may act without prior notice. You may appeal termination decisions within 14 days by contacting support@jamzpro.com.

You may also close your account at any time. Account closure does not release obligations arising from confirmed bookings entered into prior to closure.

Governing Law & Arbitration

These Terms of Service shall be governed by the laws of the State of Florida, without regard to conflict of law principles.

Mandatory Arbitration: Any dispute, claim, or controversy arising from or relating to your use of JamzPro™ that cannot be resolved through the platform's internal dispute process shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in Broward County, Florida, or by videoconference by mutual agreement.

Class Action Waiver: You agree that any dispute shall be resolved only on an individual basis and not as a class, collective, or representative action. You waive any right to participate in any class action with respect to any claim covered by these Terms.

If any provision of these Terms is found unenforceable, that provision shall be modified to the minimum extent necessary so that these Terms remain in full force and effect.

Modifications to Terms

JamzPro™ reserves the right to modify these Terms of Service at any time. We will notify users of material changes via email or prominent notice on the platform. Your continued use of the platform after changes take effect constitutes your acceptance of the revised Terms.

We encourage you to review these Terms periodically. If you do not agree with the modified Terms, you must discontinue use of the platform.
