Performer Marketplace Agreement

By registering as a performer on JamzPro™, you confirm that you are an independent contractor operating your own business. You are NOT an employee, worker, or agent of JamzPro™. JamzPro™ is a technology platform that provides tools for your independent business — we do not direct, supervise, or manage your performances.

No employer-employee relationship exists between you and JamzPro™. JamzPro™ does not provide workers' compensation, unemployment insurance, health benefits, or any other employment benefits. You retain full control over how, when, and where you perform your services.

JamzPro™ provides: a marketplace listing, booking request management, contract tools, and operational tools. These are tools for your business — not employer-provided resources.

Specifically, JamzPro™ offers: • A public performer profile and marketplace listing • Booking request management and communication tools • Digital contract templates and e-signature capability • Availability calendar and scheduling tools • Analytics and performance insights • Smart Booking™ and AI discovery tools that help event buyers find you

These tools are provided to support your independent business. JamzPro™ does not guarantee any minimum number of bookings, inquiries, or earnings. Clients pay you directly — JamzPro™ does not process, hold, or distribute payments on your behalf.

JamzPro™ is a discovery and booking marketplace. Clients pay performers directly — JamzPro™ does not process, split, or hold payments on behalf of performers or clients.

You set your own rates. You negotiate payment terms directly with your clients. You receive payment through whatever method you and your client agree on. JamzPro™ is not your payroll provider.

JamzPro™ earns revenue through optional Pro and Elite performer subscription plans. There is no per-booking commission or fee deducted from your earnings.

As an independent contractor on JamzPro™, you are responsible for:

• The quality and professional delivery of your performances • Your own federal, state, and local tax obligations on all earnings • Obtaining any required business licenses or performance permits • Carrying appropriate professional liability insurance • Complying with all applicable laws and regulations • Accurate representation of your skills, availability, and performance history • Responding to booking inquiries within the timeframes you commit to • Honoring confirmed bookings or providing adequate notice of cancellation • Maintaining your own equipment, transportation, and supplies

JamzPro™ does not require exclusivity. You may list your services on any other platform, work with any client, and operate your business as you see fit.

You are free to accept bookings from clients who found you through JamzPro™ or through any other channel. You may list on competing platforms simultaneously. JamzPro™ does not prohibit you from working with clients directly or through other booking channels.

JamzPro™ does ask that all bookings initiated through the JamzPro™ platform are completed through the platform — this protects both parties and maintains the integrity of the marketplace.

By joining JamzPro™, you agree to:

• Maintain an accurate and professional profile • Respond to booking inquiries in a timely manner • Represent your services honestly to event buyers • Honor the terms of confirmed bookings • Treat event buyers and platform users with professionalism and respect • Not use JamzPro™ solely as a lead source while deliberately avoiding use of the platform • Comply with JamzPro™'s community standards and content policies

Violations of these standards may result in profile suspension or removal from the platform.

As an independent contractor, you are solely responsible for all taxes on your earnings — including federal income tax, state income tax, and self-employment tax (15.3%). JamzPro™ does not withhold taxes on your behalf.

Because clients pay performers directly (not through JamzPro™), JamzPro™ does not issue 1099 forms for client-to-performer payments. You are responsible for tracking all income you receive from clients and including it in your tax filings.

JamzPro™ may issue tax forms related to subscription fees you pay to JamzPro™ for platform access, where required by law.

We strongly recommend consulting a qualified tax professional or CPA to ensure you are meeting all tax obligations and taking advantage of available deductions as a self-employed performer.

By creating a performer profile on JamzPro™, you grant JamzPro™ a non-exclusive, royalty-free, worldwide license to display your profile content — including your name, stage name, bio, photos, audio samples, video links, and other media — for the purpose of operating and promoting the marketplace.

This license allows JamzPro™ to display your profile in performer directories, search results, featured performer showcases, and marketing materials that promote the JamzPro™ marketplace. JamzPro™ will not sell your content separately or license it to third parties outside of normal marketplace operations.

You retain full ownership of all content you upload. You represent and warrant that you own or have the necessary rights to any content you submit, and that such content does not infringe on the rights of any third party.

You may remove your profile content at any time by deactivating your account or contacting support.

JamzPro™ reserves the right to suspend or permanently remove your performer profile for violations of this Agreement or the platform's Terms of Service, including but not limited to:

• Deliberately using JamzPro™ only to source clients before moving all activity off-platform • Misrepresentation of your identity, credentials, or performance history • Fraudulent activity or abuse of the platform • Harassment of event buyers, other performers, or platform staff • Repeated failure to honor confirmed bookings without adequate notice • Violation of applicable laws or regulations

In non-emergency cases, JamzPro™ will attempt to notify you before taking action and may give you an opportunity to correct the violation. For serious violations, JamzPro™ may act immediately without notice.

You may also terminate your account at any time by contacting support@jamzpro.com. Termination does not release you from obligations arising from confirmed bookings entered into prior to termination.
